Terms of Service

These terms explain what you can expect from Quorum and what we expect from you. We have tried to keep them short and plain.

1. The service

Quorum is a web application that reads stories from your Jira Cloud site, drafts test cases with the help of an AI model, asks questions about what the story leaves unclear, and, once you approve them, creates the test cases in Jira as sub-tasks.

Quorum is operated by Remo Yukoff, an individual (“we”, “us”). “You” means the person who signs in and, where you use Quorum for your employer or another organization, that organization too. By signing in or subscribing you agree to these terms. If you do not agree, do not use Quorum.

2. Your account

You sign in with a Google or GitHub account whose email address has been verified by that provider. Your email address identifies your Quorum account, so the same email used through Google or GitHub is one account.

  • You must be at least 18 years old and able to enter into a contract.
  • An account is for one person. Do not share your sign-in with others.
  • You are responsible for what happens under your account and for keeping your Google, GitHub and Jira credentials secure. Tell us promptly if you think your account has been misused.

3. Subscriptions and payment

Using Quorum requires a paid subscription, unless we have given you complimentary access. Plans, prices and what they include are shown on the pricing page. Prices are in US dollars and do not include taxes; where tax applies, it is added at checkout.

  • Automatic renewal. Your subscription renews automatically at the end of each billing period (monthly or yearly) at the then-current price, and your payment method is charged, until you cancel.
  • Payments. Payments are processed by Stripe. We do not see or store your full card number. You authorize us, through Stripe, to charge your payment method for each renewal and for any applicable taxes.
  • Failed payments. If a payment fails, Stripe retries it for a limited time. If it still cannot be collected, your access is suspended until the payment method is updated or you subscribe again.
  • Price changes. We will tell you by email at least 30 days before a price change applies to your subscription. The new price applies from your next renewal after that date; you can cancel before then.

4. Free trial

New subscribers can start with a 14-day free trial of the Pro plan.

  • A valid payment method is required to start the trial.
  • Unless you cancel before the trial ends, your payment method is charged for the plan you chose when the trial ends, and the subscription then renews automatically.
  • There is one free trial per person. We may refuse or end a trial that we reasonably believe is an attempt to get more than one.
  • The trial includes a smaller AI allowance than a paid month (see below).

5. Cancellation and refunds

You can cancel at any time from the billing page (“Manage billing”). Cancellation stops the next renewal: you keep access until the end of the period you have already paid for, and the subscription then ends. Cancelling during the free trial ends the trial at its scheduled date without a charge.

Payments are non-refundable, and we do not refund partial billing periods, unused time or unused AI allowance, except where the law requires a refund. If you think you were charged by mistake, write to remo.yukoff@gmail.com and we will look into it.

6. Fair-use AI allowance

Generating test cases and chatting with the agent use an AI model, which costs money each time. Each plan includes a monthly AI allowance designed to cover typical daily use by one QA engineer. Your billing page shows how much of the current month’s allowance you have used.

  • The allowance resets on the first day of each calendar month (UTC). Unused allowance does not carry over.
  • When the allowance is used up, generation and chat pause until it resets. The rest of Quorum, including your sessions, editing and sending test cases to Jira, keeps working. A generation or chat reply that has already started is always completed.
  • We may change the size of the allowance. If a change reduces it, we will tell you in advance and you may cancel.

7. Your content and Jira data

You keep all rights to the content you bring to Quorum and the content it produces for you: your Jira tickets, test cases, questions, answers and chat messages (“your content”). You give us permission to store, process and transmit your content only as needed to provide Quorum to you.

  • To connect Jira you give Quorum an API token. It is stored encrypted and used only to read the tickets you open and to create the test cases, links and comments you approve.
  • To generate test cases, the content of the ticket you are working on (and of related tickets) is sent to an AI model provider through OpenRouter. It is used to produce your results, not to advertise to you.
  • You are responsible for having the right to connect your Jira site to Quorum and to have its content processed this way, including under your organization’s policies.

8. AI-generated content

Test cases, questions and suggestions produced by Quorum are drafts generated by an AI model. They can be incomplete or wrong. Quorum is designed so that nothing reaches Jira until you approve it, and you are responsible for reviewing what you approve and for how you use it. Do not rely on Quorum as the only check of your software’s quality.

9. Acceptable use

When you use Quorum, you agree not to:

  • break the law, or infringe anyone else’s rights;
  • connect a Jira site or use content you are not authorized to use, or put content into Quorum that you are not allowed to share with the subprocessors listed in the Privacy Policy;
  • try to get around access controls, the AI allowance or the one-trial-per-person rule, or access another user’s data;
  • probe, scan or overload the service, or interfere with its operation or security;
  • resell Quorum, share an account between several people, or use Quorum to build a competing product;
  • use automated means to call Quorum other than through its own interface.

We may suspend or close an account that breaks these rules. Where reasonable, we will tell you first and give you a chance to fix the problem.

10. Availability and changes to the service

We work to keep Quorum available and reliable, but we do not promise that it will be uninterrupted or error-free. Quorum depends on third-party services, such as Jira, the AI model provider and our hosting provider, and their outages can affect it. We may improve, change or remove features. If we discontinue Quorum, we will give you at least 30 days’ notice and refund any prepaid period you could no longer use.

11. Disclaimers and limitation of liability

To the extent the law allows, Quorum is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement.

To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or business opportunities, arising from your use of Quorum. Our total liability for any claim relating to Quorum is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law, or your rights as a consumer where those rights apply.

12. Ending your use of Quorum

You can stop using Quorum at any time: cancel your subscription and, if you want your data removed, ask us to delete your account as described in the Privacy Policy. If we close your account for a breach of these terms, the subscription ends without a refund, except where the law requires one.

13. Changes to these terms

We may update these terms as Quorum changes. The date at the top shows the latest version. If a change materially affects your rights, we will tell you by email or in the app at least 30 days before it applies. If you keep using Quorum after the change applies, the new terms apply to you; if you do not agree, cancel before then.
